Anna Sergiel is the Founding Partner of AMS Legal.
Since founding the law firm, Anna has advised clients on various corporate and tax aspects of a large variety of projects, including:
- Corporate matters such as company formation, contributions in kind, liquidations, mergers and acquisitions, share redemptions etc.;
- Tax advice on corporate restructurings, up streaming of funds, functional currency, holding and financing solutions, deductibility of interest charges, VAT aspects;
- Tax returns;
- Transfer pricing (preparation of benchmark studies and transfer pricing reports);
- Securitization vehicles and fund structures.
Anna’s clients include Luxembourg entities of listed banks, family wealth structures, real estate investors and multinational groups.
Prior to establishing AMS Legal, Anna worked as a Senior Associate and Head of Transfer Pricing for a top tier Luxembourg law firm, focusing on private wealth and alternative investment structures. At the time, Anna qualified as a lawyer with the Luxembourg Bar (Liste I). Prior to that, she worked as a tax manager for a Luxembourg Big 4 firm, in a team dedicated to serving US multinational corporations and private equity clients.
As a result, Anna has over 15 years of extensive experience advising a large international client base on all tax related and corporate matters. Due to her unique background uniting a deep understanding of legal, tax and accounting aspects, Anna is able to advise on the legal consequences of a particular tax structure and vice versa, thus being able to deliver customized integrated advice.
Anna is also a member of the International Fiscal Association and was a national reporter for the IFA 2012 Congress. She co-authored the Luxembourg report “The Debt-Equity Conundrum” (available here).
